These Terms of Service ("Terms") govern your access to and use of the Codcel website, applications, desktop software, CLI, and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Services.
Codcel may provide translations of these Terms of Service and related policies into languages other than English for convenience. These translations may be generated or assisted by automated tools.
In the event of any inconsistency, conflict, or ambiguity between a translated version and the English version, the English version shall prevail and is the only legally binding version.
By using Codcel, you acknowledge and agree that all legal interpretation of these Terms is governed exclusively by the English-language version.
You must be at least 16 years old to use Codcel. By using the Services, you represent that you meet this requirement.
Codcel uses email-based magic-link authentication. You agree to keep your email account secure and notify us immediately of any unauthorized access to your Codcel account.
You are responsible for all activity under your account.
Paid plans for Codcel are processed by Paddle, our payment provider and Merchant of Record. By purchasing a subscription, you agree to Paddle's terms, privacy policy, and refund procedures.
Subscription charges renew automatically unless cancelled. You may cancel at any time via your Codcel account or Paddle's subscription management portal. Cancelled subscriptions remain active until the end of the current billing period.

Certain Codcel subscription plans are offered based on the size of the customer organisation. For these purposes, "organisation", "team", and "customer" refer to the entire legal entity (including all employees, contractors, departments, and affiliated units operating under that entity), not only the individuals who directly use Codcel.
The "Under 20 Employees" tier is available only to organisations whose total employee count is fewer than 20 people. Organisations with 20 or more employees must select an appropriate higher employee-based tier or, if applicable, contact Codcel for enterprise licensing.
Codcel may request reasonable verification of organisation size where necessary to ensure correct tier usage.
If Codcel-generated code, artifacts, or outputs are created for, delivered to, or used by a third-party organisation, the applicable subscription tier must correspond to the employee size of the third-party organisation benefiting from the work, not only the size of the customer using Codcel.
Small teams, agencies, freelancers, or consultancies performing work for larger organisations must use the subscription tier appropriate for the largest organisation that receives, deploys, or benefits from the generated output.
This requirement ensures correct licensing when Codcel output is part of commercial projects, client engagements, or software delivered to external organisations.
Codcel generates source code, configuration files, database schemas, and other software artifacts based on your spreadsheet logic and settings.
All code generation is performed locally using the Codcel Desktop App or the Codcel CLI. Your Excel files, project data, and other inputs are processed entirely on your own machine. They are not uploaded to Codcel servers for processing.
The Codcel website (codcel.io) provides account management, billing, documentation, and other non-processing features. It does not perform Excel-to-code conversion or handle spreadsheet data.
You are responsible for reviewing, testing, and validating all generated code before using it in production systems. All generated code must be independently reviewed, tested, and validated by you before deployment or use in production environments. Codcel does not warrant the correctness, completeness, or suitability of any generated output for your specific use case.
Codcel is not liable for issues arising from the use of generated code, including bugs, omissions, inaccuracies, or incompatibilities. You acknowledge that generated code may require modification or review to meet your requirements.
You retain full ownership of all Excel files, data, and content you provide or process with Codcel ("User Content").

Generated code is licensed to you under the license presented at the time of generation. In most cases, you receive a perpetual, non-exclusive license to use, modify, and distribute the generated code.

Codcel is provided "as is" without warranties of any kind, express or implied. We do not guarantee accuracy, completeness, or fitness for any particular purpose.
To the maximum extent permitted by law, Codcel is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
Codcel's total liability for any claim relating to the Services is limited to the amount you paid for the Services during the 12 months preceding the claim.
You may stop using Codcel at any time. We may suspend or terminate your access if you violate these Terms or misuse the Services.
These Terms are governed by the laws of the European Union and the country in which Codcel is legally established, without regard to conflicts of law.
